This Marketplace Agreement ("Agreement") is entered into between Luffra Group LLC, a Florida limited liability company ("Platform," "SODIAX," "we," "us"), with its principal place of business at 5550 Glades Road Suite 500 #1151, Boca Raton, FL 33431, and the business or individual listing wellness services on the SODIAX marketplace ("Place Owner," "you," "your").
SODIAX operates a digital marketplace connecting consumers with wellness, fitness, recreation, and behavioral health venues ("Places"). As a Place Owner, you may list your venue, set pricing for experiences (classes, passes, packages, events), and receive bookings from SODIAX users. SODIAX provides the technology platform, payment processing, and customer discovery tools. SODIAX does not own, operate, or control your venue or the services you provide.
3.1 Platform Commission. SODIAX retains a commission of ten percent (10%) of the gross booking amount for each completed transaction processed through the SODIAX marketplace. This commission is automatically deducted at the time of payment.
3.2 Payment Processing. All payments are processed through Stripe, Inc. ("Stripe"). You must create and maintain a Stripe Express connected account to receive payouts. SODIAX is not responsible for Stripe's fees, policies, or processing timelines.
3.3 Payout Schedule. Payouts are initiated by Stripe according to your Stripe Express account settings (typically 2-7 business days after a successful transaction). SODIAX does not hold or escrow funds — payments are split and routed at the time of checkout.
3.4 Pricing. You retain full control over pricing for your experiences. SODIAX does not set, influence, or guarantee pricing. You may update pricing at any time, and changes will apply to future bookings only.
3.5 Taxes. You are solely responsible for collecting, reporting, and remitting all applicable sales taxes, VAT, or other taxes on your services. SODIAX does not withhold or remit taxes on your behalf. SODIAX will issue a Form 1099-K as required by IRS regulations for applicable payment volumes.
4.1 Customer-Initiated Cancellations. If a customer cancels a booking before the scheduled date, a full refund will be issued through Stripe. The 10% platform commission is also refunded.
4.2 Place Owner-Initiated Cancellations. If you cancel a confirmed booking, the customer receives a full refund. Repeated cancellations may result in reduced marketplace visibility or suspension.
4.3 No-Shows. If a customer does not appear for a confirmed and paid booking, you retain the full payout amount (90% of the booking). The platform commission is not refunded.
4.4 Disputes. Payment disputes initiated by customers through their bank or credit card company are handled by Stripe. SODIAX will cooperate with dispute resolution but is not liable for chargebacks.

You retain all rights to your venue name, branding, and content. By listing on SODIAX, you grant SODIAX a non-exclusive, worldwide, royalty-free license to display your venue information, photos, and descriptions on the SODIAX platform and in marketing materials for the sole purpose of promoting your listing.
SODIAX is a marketplace platform only. We do not provide, supervise, or guarantee any wellness, fitness, or health services offered by Place Owners. SODIAX is not liable for injuries, damages, or losses arising from services provided by Place Owners. SODIAX's total liability under this Agreement shall not exceed the total commissions paid by you in the twelve (12) months preceding the claim.
You agree to indemnify and hold harmless Luffra Group LLC, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from: (a) your services or venue operations; (b) your breach of this Agreement; (c) your violation of any law or regulation; or (d) any dispute between you and a customer.
10.1 Term. This Agreement is effective upon your acceptance and continues until terminated by either party.
10.2 Termination. Either party may terminate this Agreement at any time with 30 days' written notice. Upon termination, all pending bookings will be honored, and final payouts will be processed within 30 days.
10.3 Suspension. SODIAX reserves the right to suspend your listing immediately if: (a) you violate this Agreement; (b) we receive credible complaints about your services; (c) your Stripe account is deactivated; or (d) we reasonably believe your listing poses a safety risk.
This Agreement is governed by the laws of the State of Florida, without regard to conflict of law principles. Any disputes arising under this Agreement shall be resolved through binding arbitration administered by the American Arbitration Association in Palm Beach County, Florida.
